1. Acceptance of Terms

By accessing or using Zupia ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including without limitation users who are guardians, children, or other household members.

2. Description of Service

Zupia is a house reward system application that allows houses to:

  • Create and manage activities for house members
  • Track activity completion and award virtual currency
  • Create rewards that can be redeemed with earned currency
  • Manage household accounts and house member relationships

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

3.2 Account Types

The Service supports two types of accounts:

  • Guardian Accounts: Created by adults (18+) who manage households and create activities/rewards
  • Child Accounts: Created by guardians for children under 18, with limited functionality

3.3 Account Responsibilities

You are responsible for:

  • All activities that occur under your account
  • Maintaining the confidentiality of your account credentials
  • Ensuring that children's accounts are used appropriately
  • Complying with all applicable laws and regulations

4. Children's Privacy and COPPA Compliance

Zupia complies with the Children's Online Privacy Protection Act (COPPA). By creating a child account, you represent that:

  • You are the parent or legal guardian of the child
  • You consent to the collection and use of the child's information as described in our Privacy Policy
  • You will supervise the child's use of the Service
  • You understand that child accounts have limited functionality and cannot be used independently

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Violate or infringe upon the rights of others
  • Transmit any harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission
  • Impersonate any person or entity
  • Harass, abuse, or harm other users
  • Upload content that is offensive, inappropriate, or violates any rights

6. Premium Features and Payments

6.1 Subscription Plans

Zupia offers both free and premium subscription plans. Premium features may include:

  • Custom avatar uploads
  • Unlimited activities, rewards, currencies, and house members
  • Additional features as they become available

6.2 Payment Terms

If you subscribe to a premium plan:

  • You agree to pay all fees associated with your subscription
  • Fees are billed in advance on a recurring basis
  • All fees are non-refundable except as required by law
  • We reserve the right to change our pricing with 30 days' notice
  • Your subscription will automatically renew unless cancelled

6.3 Cancellation

You may cancel your premium subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to premium features until the end of the period you've paid for.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Zupia and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you upload to the Service. By uploading content, you grant Zupia a worldwide, non-exclusive, royalty-free license to use, store, and display your content solely for the purpose of providing the Service.

8. User Content

You are responsible for any content you upload, post, or transmit through the Service. You represent and warrant that:

  • You own or have the right to use all content you submit
  • Your content does not violate any laws or rights of others
  • Your content is not offensive, harmful, or inappropriate
  • You will not upload malicious code or viruses

We reserve the right to remove any content that violates these Terms or is otherwise objectionable.

9. Service Availability

We strive to provide reliable service but do not guarantee that the Service will be available at all times. The Service may be unavailable due to:

  • Scheduled maintenance
  • Technical issues or failures
  • Circumstances beyond our control

We are not liable for any loss or damage resulting from Service unavailability.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUPIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Zupia, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another
  • Any content you submit through the Service

12. Account Termination

12.1 Termination by You

You may terminate your account at any time by:

  • Going to Account Settings and clicking "Cancel my account"
  • Contacting us at support@zupia.app

Upon termination, your account and data will be deleted within 30 days, except where we are required to retain it for legal purposes.

12.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • You fail to pay required fees
  • We are required to do so by law

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending an email notification (for significant changes)

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state and federal courts located in California.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zupia regarding the Service and supersede all prior agreements and understandings.

17. SMS Terms and Conditions

17.1 Program Description

Zupia sends one-time passcodes (OTP) and account invitation links via SMS to verify your identity and facilitate household management.

17.2 Message Frequency

Message frequency varies based on user interaction and account activity.

17.3 Pricing

Message and data rates may apply.

17.4 Help and Support

Reply HELP for help at any time, or contact us at support@zupia.app.

17.5 Opt-out

You can cancel the SMS service at any time by replying STOP. After you send the message 'STOP' to us, we will send you an SMS to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us.

17.6 Liability

Carriers are not liable for delayed or undelivered messages.
